TERMS AND CONDITIONS SKYNET TRADING LIMITED

Article 1: Agreement to Terms and Conditions of Use.

Skynet Trading Limited offers a non-custodial software solution for liquidity solutions for the digital assets market. Skynet Trading Limited is a SaaS-provider that offers a software dashboard for projects looking to deploy liquidity solutions to improve the accessibility of their utility tokens.

Article 2: Restrictions on Jurisdictions

Our products and services are not intended for, and are not sold to, retail customers, entities, or individuals operating within the United States of America (USA). Furthermore, we do not engage in business with any companies that are based in or affiliated with the USA.

Additionally, our software products are not rented, leased, or licensed for any purpose that could involve access to or operation within U.S. markets. Any attempt to use our products or services in violation of these restrictions is strictly prohibited.

The Client represents and warrants that it has no presence in the United States, including but not limited to, involvement in exchanges, management, or as Ultimate Beneficial Owners (UBOs). The Client confirms that all Know Your Business (KYB) and Anti-Money Laundering (AML) procedures have been completed truthfully and in full. Should the Client establish any form of presence in the United States in the future, it agrees to promptly notify the Software Provider. Upon such notification, the Software Provider reserves the right to immediately terminate and cancel any and all access to the software.

Article 3: Beta.

Use Dashboard at your own risk. This software program is still in testing phase and is believed to contain defects. The primary purpose of this beta is to obtain feedback on software performance and identification of defects. Use software with caution and do not rely in any way on the correct functioning or performance of the beta software program.

Article 4: Copyright and Intellectual Property.

Unless otherwise indicated, all copyright and other intellectual property rights in all information, data, text, graphics, images, logos, trademarks, and other materials on this website are the property of Skynet Trading Limited.

Article 5: Confidentiality.

The information transmitted in this dashboard is intended only for the person or entity to which it is addressed and may contain confidential and/or privileged material. Any review, retransmission, dissemination or other use of, or taking of any action in reliance upon this information by persons or entities other than the intended recipient is prohibited. If you received access to the software in error, please contact the sender and delete the material.

Article 6: The Company’s Exemption from Liability.

Customer agrees and acknowledges that the software they rent from Skynet Trading Limited is not responsible for the performance of Client on the market. Customer agrees to hold Skynet Trading Limited harmless for any Client price fluctuations or price depreciation during the Term of this Agreement or any other losses caused by the use of the software.

Article 7: No warranties, Indemnification.

By agreeing to these terms and conditions, you acknowledge and agree that in no event shall Skynet Trading Limited, its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, employees, members, managers, or the assigns of the same be liable for any incidental, consequential, or indirect damages, including but not limited to, damages for loss of profits, business interruption, loss of programs or information, or any other losses arising out of the use of or inability to use the software, or any information provided from the Service, even if Skynet Trading Limited or its authorized representatives have been advised of the possibility of such damages. Furthermore, Skynet Trading Limited shall not be liable for any claim attributable to errors, omissions, or other inaccuracies in the Service.

You agree to indemnify, defend, and hold harmless Skynet Trading Limited and its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. This indemnification obligation will survive the termination of these Terms and Conditions and your use of the Service.

You hereby release Skynet Trading Limited and its subsidiaries from any and all claims, damages, liabilities, and costs, whether known or unknown, arising from or related to your use of the service. This release covers all claims, whether based on warranty, contract, tort, or any other legal theory, and includes any claims for direct or indirect damages or any other forms of relief.

Article 8: Representations.

Skynet Trading Limited has no influence or ownership over the ultimate performance of Customer’s tokens and makes no representation that the Customer will or will not achieve certain price-related targets. Skynet Trading Limited’s obligations hereunder are limited to making commercially reasonable efforts to advise on methods to use the software.

Article 9: No investment advice.

The contents of this software do not constitute investment advice or an offer to purchase any investment product.

Article 10: Permission.

Permission is granted to view and print materials from the software for the non-commercial purpose of viewing, reading, and retaining for reference. Any other copying, distribution, retransmission or modification of information or materials on this site, whether in electronic or hard copy form, without the express prior written permission of Skynet Trading Limited, is strictly prohibited. Accordingly, you agree that you will not copy, reproduce, alter, modify, or create derivative works from the Service.

Article 11: Know Your Customer (KYC) and Compliance.

All clients are required to complete a Know Your Customer (KYC) process as part of the onboarding procedure. This process is designed to prevent identity theft, financial fraud, money laundering and terrorist financing. Skynet Trading Limited reserves the right to refuse service to anyone failing to comply with KYC requirements.

Article 12: Adherence to Laws and Ethical Trading Practices.

Skynet Trading Limited is committed to abiding by all applicable laws, regulations, and ethical standards in the jurisdictions where it operates. The company will not engage in or facilitate market manipulation or any other illicit trading practices. Clients are expected to adhere to similar standards and may be subject to termination of service for any illegal or unethical trading activities.

Article 13: Limitation of Liability.

Skynet Trading Limited shall not be liable for any damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if Skynet Trading Limited has been advised of the possibility of such damages. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Article 14: Service Availability.

Skynet Trading Limited does not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. Skynet Trading Limited will strive to provide access to its services as much as possible but will not be liable for any interruptions, including, but not limited to, power outages, system failures or other interruptions that may affect the receipt, processing, acceptance, completion or settlement of transaction services.

Article 15: Termination of Service.

Skynet Trading Limited reserves the right to terminate your access to the Service or any part of it at any time, without notice, for conduct that Skynet Trading Limited believes violates these Terms and Conditions or is harmful to other users of the Service, to Skynet Trading Limited, to the business of the website's internet service provider, or to other information providers.

Article 16: Client Responsibility.

Clients are responsible for ensuring that their use of Skynet Trading Limited's services complies with all laws, rules, and regulations applicable to them. It is the client's responsibility to keep their login information confidential and to ensure that their accounts are used in a secure manner.

Article 17: Modifications to Terms and Conditions.

Skynet Trading Limited reserves the right to modify these terms and conditions at any time. Such modifications shall be effective immediately upon posting of the modified terms and conditions. You agree to review these terms and conditions periodically to be aware of such modifications, and your continued access or use of the service shall be deemed your conclusive acceptance of the modified terms and conditions.

Article 18: Governing Law.

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Skynet Trading Limited is established, without giving effect to any principles of conflicts of law.

By using Skynet Trading Limited's services, you agree to these expanded terms and conditions. If you do not agree, please refrain from using the service.
